RAO Affiliate Program Terms & Conditions

These Affiliate Program Terms and Conditions (“Terms”) govern participation in the RAO Clothing Brand Affiliate Program (“Program”). “RAO,” “we,” “us,” and “our” refer to RAO Clothing Brand. “Affiliate,” “Creator,” “you,” and “your” refer to each approved Program participant.

By applying, accepting an invitation, accessing affiliate links or discount codes, or participating in the Program, you confirm that you have read, understood, and agreed to these Terms.

1. Eligibility and approval

  • You must be at least 18 years old and legally capable of entering into a binding agreement.
  • You must provide complete, accurate, and current information.
  • Admission is subject to RAO’s approval and may be denied or revoked at RAO’s discretion, subject to applicable law.
  • Approval does not create any guarantee of sales, commissions, gifts, continued participation, or future opportunities.

2. Program offer

Unless a different offer is displayed in your Shopify Collabs account, the Program currently provides:

  • Affiliate commission: 8% on eligible product sales.
  • Customer discount: 10% off an eligible order, limited to one use per customer.
  • Attribution window: 30 days.
  • Commission holding period: 30 days.

The offer and settings shown in Shopify Collabs control if they differ from this summary. RAO may prospectively change commissions, discounts, eligible products, attribution settings, or Program benefits by updating Shopify Collabs or notifying Affiliates.

3. Eligible commissions

A commission is earned only when Shopify Collabs attributes a valid, completed, and eligible purchase to your authorized affiliate link or discount code.

Commissions are not earned on canceled, refunded, returned, disputed, fraudulent, self-referred, duplicate, test, or otherwise ineligible orders. Taxes, shipping charges, gift cards, and other excluded amounts may not be commissionable.

RAO may reverse or cancel commissions connected to refunds, chargebacks, fraud, manipulation, policy violations, or incorrectly attributed transactions, subject to applicable law and Shopify Collabs rules.

4. Holding period and payments

Commissions remain pending during the applicable 30-day holding period to allow for returns, cancellations, disputes, or other order issues. Eligible commissions are processed through Shopify Collabs after the holding period and according to Shopify’s billing, payout, verification, and account requirements.

Payment timing can be affected by Shopify processing, identity or tax verification, payment failures, disputes, legal requirements, or incomplete Affiliate information. RAO does not guarantee a particular payout date where processing is controlled by Shopify or another payment provider.

5. Required affiliate disclosures

You must clearly and conspicuously disclose your material relationship with RAO whenever promoting RAO or its products. Disclosures must be easy to notice, understand, and appear with the endorsement—not hidden in a profile, after “more,” or among unrelated hashtags.

Appropriate disclosures may include “RAO Affiliate,” “Paid partnership with RAO,” “I earn a commission from qualifying purchases,” or clear hashtags such as #ad or #affiliate, when appropriate.

You must comply with all applicable advertising, endorsement, consumer-protection, privacy, email, and marketing laws, including applicable Federal Trade Commission requirements.

6. Truthful and responsible promotion

All statements must be honest, accurate, based on your genuine experience, and consistent with information supplied by RAO. You must not:

  • Make false, misleading, exaggerated, or unsubstantiated claims.
  • Misrepresent product qualities, prices, availability, shipping, guarantees, discounts, or earnings.
  • Promise results that RAO has not expressly authorized.
  • Present yourself as an employee, agent, legal representative, spokesperson, or official account of RAO.
  • Create fake reviews, fabricated testimonials, or deceptive engagement.

7. Platform-policy compliance

You are solely responsible for reviewing and following the current advertising, branded-content, affiliate-disclosure, intellectual-property, commerce, community, and content policies of every platform you use, including Shopify Collabs, Instagram, Facebook, TikTok, YouTube, Pinterest, search engines, email providers, and any other applicable service.

If platform rules are stricter than these Terms, the stricter requirement applies. You must promptly remove or correct any content that violates these Terms, applicable law, a platform policy, or a written RAO instruction.

8. Prohibition on political content

Affiliate promotions connected to RAO must not contain political or partisan messaging of any kind. Prohibited content includes, without limitation:

  • Endorsements of or opposition to political candidates, parties, campaigns, or elected officials.
  • Election-related advocacy, political fundraising, lobbying, or partisan campaigning.
  • Political slogans, hashtags, arguments, commentary, or inflammatory political debate.
  • Content that connects RAO or its products to a political organization, movement, campaign, or position without RAO’s prior written authorization.

An Affiliate’s personal opinions must never be presented as RAO’s opinions. RAO may require the immediate removal of content that it reasonably considers political, partisan, inflammatory, misleading, unsafe, or harmful to the brand.

9. Other prohibited promotional practices

You may not:

  • Use spam, unsolicited bulk messages, automated comments, deceptive direct messages, or unlawful email or text marketing.
  • Engage in harassment, hate speech, discrimination, threats, violence, illegal activity, sexual exploitation, or other unlawful or abusive content.
  • Use malware, forced redirects, cookie stuffing, hidden links, bots, fake traffic, click manipulation, or fraudulent orders.
  • Purchase through your own affiliate link or arrange artificial purchases primarily to obtain commissions or discounts.
  • Post unauthorized coupon codes on coupon, deal, or cashback websites.
  • Bid on RAO, RAO Clothing Brand, shoprao.com, or confusingly similar terms in paid search advertising without prior written permission.
  • Create accounts, domains, usernames, pages, advertisements, or content that impersonate RAO or appear to be officially operated by RAO.
  • Alter RAO’s logo, product images, trademarks, or approved materials in a misleading, offensive, or unauthorized manner.
  • Promote RAO on websites or accounts containing unlawful, deceptive, infringing, or prohibited content.

10. Intellectual property

RAO grants approved Affiliates a limited, revocable, nonexclusive, nontransferable license to use approved RAO names, logos, product images, links, and promotional materials solely for authorized Program promotion.

All ownership remains with RAO or the applicable rights holder. You may not register, claim ownership of, sublicense, sell, modify, or use RAO intellectual property for another purpose. All use must stop immediately when participation ends or when RAO requests removal.

11. Independent Affiliate relationship

Affiliates are independent promoters and not employees, agents, partners, franchisees, joint venturers, or legal representatives of RAO. You have no authority to make commitments, warranties, agreements, representations, refunds, or obligations on RAO’s behalf.

You independently control and are solely responsible for your content, statements, accounts, conduct, promotional methods, equipment, expenses, taxes, legal compliance, and interactions with third parties.

RAO does not authorize unlawful, misleading, political, policy-violating, or otherwise prohibited promotions. To the fullest extent permitted by law, RAO is not responsible for an Affiliate’s unauthorized acts, omissions, statements, debts, expenses, violations, or promotional activities.

12. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless RAO, its owners, officers, employees, contractors, and service providers from third-party claims, damages, penalties, liabilities, losses, and reasonable expenses arising from your content, conduct, negligence, legal or policy violations, misuse of intellectual property, breach of these Terms, or unauthorized representations.

13. Taxes and expenses

You are solely responsible for your taxes, registrations, licenses, insurance, business expenses, and reporting obligations. RAO may require tax documentation before commissions are paid. Nothing in these Terms constitutes tax, employment, or legal advice.

14. Monitoring, suspension, and termination

RAO may monitor publicly available promotional content and request documentation concerning your Program activity. You must cooperate with reasonable compliance requests.

RAO may suspend or terminate participation, deactivate links or codes, remove benefits, dispute commissions, or require content removal when there is suspected fraud, policy noncompliance, reputational harm, inactivity, breach of these Terms, or other legitimate business reason, subject to applicable law and Shopify Collabs rules.

After termination, you must stop representing yourself as a RAO Affiliate and remove RAO materials when requested. Provisions concerning accrued obligations, intellectual property, confidentiality, indemnification, limitations of liability, and dispute resolution survive termination.

15. Confidentiality and personal information

Nonpublic information received from RAO—including unreleased products, campaigns, pricing, access credentials, customer information, and business plans—must remain confidential and may be used only for the Program.

You must not collect, store, disclose, or misuse customer personal information through unauthorized methods. Each party is responsible for complying with applicable privacy and data-protection requirements.

16. No earnings guarantee

RAO makes no promise or guarantee regarding traffic, sales, audience growth, income, commission amount, conversion rate, product availability, or Program duration. Participation and promotional activity are undertaken at your own business risk.

17. Disclaimer and limitation of liability

To the fullest extent permitted by law, the Program, links, codes, materials, and related services are provided “as is” and “as available,” without warranties not expressly stated in these Terms.

To the fullest extent permitted by law, RAO will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost opportunities, lost data, platform restrictions, account suspensions, or reputational harm arising from Program participation.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

18. Changes to these Terms

RAO may update these Terms prospectively by posting a revised version or providing notice through Shopify Collabs or email. Continued participation after the effective date of an update constitutes acceptance of the revised Terms. If you do not agree, you must stop participating in the Program.

19. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Subject to applicable law, disputes relating to these Terms will be brought in the appropriate state or federal courts serving Hillsborough County, Florida.

21. Acceptance

By applying to, accepting an invitation to, or participating in the RAO Affiliate Program, you acknowledge that you have read, understood, and agreed to these Terms and all applicable Shopify Collabs and platform requirements.
